1. NAME
Five Ways Old Edwardians Sports Club, hereafter to be referred to as ‘the club’.
2 AIMS AND OBJECTIVES.
a) To foster and promote rugby and cricket via its current rugby and cricket sections ( and any other sport(s) sections as may be agreed in the future) -at all levels within the community and within their respective sports, providing opportunities for recreation, coaching, development and competition.
b) To manage the ‘Masshouse‘ clubhouse, the clubs playing fields and associated facilities.
c) To ensure that via the cricket and rugby sections all members, playing and non-playing, abide by
For cricket-
di) The ECB Code of Conduct which incorporates the Spirit of Cricket and by the Laws of Cricket. To ensure a duty of care to all members of the club by adopting and implementing the ECB ‘Safe Hands – Cricket’s Policy for Safeguarding Children’ and any future versions of the Policy. To ensure a duty of care to all members of the club by adopting and implementing the ECB Cricket Equity Policy and any future versions of the Policy.
For Rugby-
dii) The current RFU Rules and Equal Opportunities, the IRB Rules and Regulations and Playing Charter and the RFU Disciplinary regulations all as included in the current Rugby Union handbook (incorporating regulations and competitions and school and youth Handbooks). The Rugby Section commit to all RFU regulations and guidelines in particular in relation to inclusive participation and child protection and to all the planning and aspirations particularly those contained in the Community Rugby Section of the RFU Strategic Plan for 2005/06-2012/2013 or any successor document.
e) To further the preservation of friendships made between the members when at school. To create social relations, and promote sporting activities among all Old Boys and Friends of the School. To encourage a close relationship between Old Boys and the School.
f) To organise and hold or assist in organising and holding competitions and exhibitions and give prizes and awards therefore, if thought fit, or join others in so doing.
g) To encourage all members to participate fully in the activities of the club.
3 PATRON:
The clubs patron shall be the Headmaster of King Edwards Five Ways School Birmingham.
4 TRUSTEES
The property of the club shall be vested in four Trustees (appointed by the Executive Committee) who shall act in accordance with the terms of the Trust Deed.
5 SPORTS SECTIONS
a) The executive committee shall empower the cricket and rugby sections (and any future sections recognised by the members and endorsed by the Executive Committee) to form their own committees with appropriate honorary officers to manage the playing of their sections sport. The sections will be clubs with their own rules with affiliation to their own sports appropriate governing bodies
b) At least one representative from each sections playing committee shall serve on the Executive Committee.
6 MANAGEMENT
a. The Executive Officers of the Club shall consist of the President, the Honorary Secretary and the Honorary Treasurer.
b. The management of the club, its finances and investments (subject to subscriptions, which are dealt with under paragraph 10 in General Meeting) shall be vested in the Executive Committee, consisting of the President, the Immediate Past President, the Honorary Secretary, the Honorary Assistant Secretary, The Honorary Treasurer, the Honorary Assistant Treasurer, a School Liaison Officer and six other elected members together with a representative of each playing Section. A quorum necessary for the transaction of business of the Executive Committee shall be nine. The Executive Committee shall have the power to co-opt any member of the club.
i. The aforementioned committee shall be elected at the Annual General Meeting to be held no later than I November each year. The President shall serve for not more than three consecutive years in office and shall not immediately be eligible for re-election for this office.
ii. The Executive Committee may fill any vacancy that may occur during the year.
c. The Executive Committee shall be responsible for the purchase supply and distribution of intoxicating liquor and the purchase and care of any equipment.
d. The Executive Committee may approve the lending out of the Clubhouse and its facilities to any sporting organization or person whosoever will meet their approval.
e. The Executive Committee shall have the power to invite any member to be present at Committee Meetings to advise or assist for ad-hoc purposes.
f. The Executive Committee shall have power to form Sub-Committees for the purpose of enquiring into such matters connected with the Club but any decision of a Sub-Committee shall be reported to and confirmed by the main Committee.
g. Should any change occur in the identity of the Executive Officers of the Club or the membership of the Committee written notice thereof must be sent to the Clerk to the Justices within 28 days of the change.
h. This notice to the Clerk must also be sent when there is any change in registration particulars and such notices must be signed by the chairman and Secretary.
i. The Committee shall meet as required and in any case not less than once each month.
7 MEMBERSHIP
(a) Membership of the club shall be open to anyone interested in the sports of rugby and cricket ( or other sports played at the club as determined by the Executive Committee) on application regardless of sex, age, disability, ethnicity, nationality, sexual orientation, religion or other beliefs. However, limitation of membership according to available facilities is allowable on a non discriminatory basis.
(b) The club may have different classes of membership and subscription on a non discriminatory and fair basis. Within the overriding constraint of the clubs financial viability the club will keep subscriptions at levels that will not pose a significant obstacle to people participating.
(c) Application for membership of the club shall be by completion of a membership application form and by payment of the relevant subscription/joining fees as determined by the Annual General Meeting of the club.
(d) No person shall be eligible to take part in the business of the club or eligible for selection for any club team unless the appropriate subscription has been paid by the specified date or membership agreed by the Committee.
(e) The club Committee may refuse membership, or remove it, only for good cause such as conduct or character likely to bring the club, rugby, cricket ( or other sport played by agreement of the Executive Committee) into disrepute. Appeal against refusal or removal may be made to the Committee who shall appoint an Appeals Committee to hear the appeal.
(f) All members will be subject to the regulations of the Constitution and by joining the club will be deemed to accept these regulations and any Codes of Conduct that the club has adopted. The Constitution shall identify those members eligible to vote at any General Meetings. The constitution shall be placed on display on the clubs notice board.
(g) All classes of members must be duly elected to Club membership. This membership entitles the members to take an active part in the social functions of the Club and avail themselves of the social accommodation and privileges provided by the Club. It also entitles these members to apply to the relevant section for election as playing members or as vice-presidents.
(h) Club Membership entitles the members to vote at all General Meetings of Five Ways Old Edwardians Sports Club
(i) The Executive Committee may in special circumstances nominate Honorary Life Members and such members must be elected at an Annual General Meeting of the Club.
8. CLASSES OF MEMBERSHIP
There shall be four classes of membership available. These are:
· Full Member
· Junior Member (Under 18 years of age at 1St September of the current year)
· Social Member
· Honorary/ Life Member
A list of members in each category shall be maintained by the Treasurer, Secretary or other Officer of the club so instructed.
9 ELECTION OF MEMBERS
(a) The election of Members other than Honorary Life Members is vested solely in the Executive Committee and shall be by a show of hands or by a ballot if a ballot is deemed by either the Chairman or at least two members of the Committee present at the meeting.
(b) Every candidate for membership shall be proposed by one Member of the Club and seconded by another Member both of whom shall be acquainted personally with the candidate and shall vouch for his suitability for membership.
(c) Following the Executive Committee meeting at which the application is considered a written reply will be forwarded to the applicant giving the Committee’s decision.
(d) But until the annual subscription is paid such election shall not take effect, and if such payment is not made within 28 days the election shall be void, unless the neglect to pay is satisfactorily explained.
( i ) At the expiration of fourteen days’ notice in writing of their intention, the Executive Committee shall have power to remove from the List of Members any member who shall not have paid his subscription for the current year. Until the subscription has been paid, members to whom such notice has been given shall not enter the activities of any section, nor vote on any ballot or any meeting of the Club, nor act as a member of any committee or sub-committee nor have the right of proposing or seconding any candidate, nor of introducing visitors into the club.
(ii) Any member guilty of misconduct may be suspended by the Officers of the Executive Committee for a period of seven days, and in the meantime shall appear before the Committee which shall have powers to expel the defaulting member if the circumstances warrant such action.
(iii) Any member may resign from the Club on giving one months notice in
writing, to the Honorary Secretary before the end of the financial year (31 August)
10 SUBSCRIPTIONS
(a) The Club subscriptions shall be fixed by the Club members in general meeting of the Club.
(b) Playing section revenue shall be raised by means of match fees payable by each player for each game in which he takes part together with donations.
( c) The playing sections shall not expend an amount of more than £100 of its funds upon any item not directly related to the carrying out of its sporting activity without the approval of the Executive Committee. Where appropriate the Clubs executive officers can give delegated powers to the section committees for such approvals.
11 VISITORS
(a) In the event of an organized visit of members of a sporting club or another social club, such members, officials and friends of the visiting club shall be entitled with the sanction of the Executive Committee to purchase intoxicating liquor for consumption on the premises on the day of such visit only. This provision applies to guests attending specific social functions of the Club.
(b) Members shall have the privilege of introducing not more than two guests to the club at any one time. No visitor, other than a Member’s wife or children shall be introduced more than twice in a week. No person who has been expelled from the Club or whose membership has been rejected shall be admitted as a guest. Members who introduce visitors shall be responsible for all expenses incurred by them at the club.
( c) Introducing member (of guests) shall be responsible for the good conduct of the guests and for the observance by the guests of the Club rules.
(d) Guests may be permitted to purchase intoxicants for consumption on the club premises.
(e) No person under the age of 18 shall be served with intoxicants or allowed to consume intoxicants on the premises.
(f) A book shall be kept on the premises and open for inspection at all times, in which shall be inserted the names of guests and the introducing member.
12 CLUB HOURS
The club shall be open from 9.00a.m. until 11.30p.m. and shall be closed at any time on any day that the Executive Officers may decide.
13 LICENSING
(a) The permitted hours during which the club shall be open fore sale of intoxicants shall be as follows:-
Weekdays - from 11.00a.m. to 11.00p.m.
Sundays, Christmas Day and Good Friday - from 12noon to 10.30p.m.
(b) The tariffs shall be fixed by the Executive Committee or by a sub-committee. Complaints and suggestions shall be referred to the Executive Committee through the Honorary Secretary.
(c) The relevant permitted hours shall be posted in the Clubroom at all times.
(d) No wines or other liquors shall be brought into the club by any other member.
(e)The Executive Committee shall have power, from time to time, to prescribe the games and to limit the points or stakes at any game, which may be played in the club.
(f) Unlawful games of chance shall be prohibited.
14 ACCOUNTS
(a) The accounts of the Club shall be kept in the manner prescribed by the Executive Committee.
(b) The Bankers of the Club shall be determined by the Executive Committee from time to time and the subscriptions and other monies received shall be paid in by the Treasurer within seven days of receipt.
( c)The accounts and report of the Honorary Treasurer of the Club for the financial year ending the last day of August shall be presented to a meeting of the Executive Committee not later than the 30th November each year.
(d) After the approval of these accounts by the Executive Committee they shall be audited and presented to the Annual General Meeting of the Club. A copy of the Accounts shall be posted in the Clubhouse fourteen days prior to the Annual General Meeting.
(e)The Treasurer shall report to each Executive Committee meeting all information requested by that Committee.
15 ANNUAL GENERAL MEETINGS
(a) Notice of the Annual General Meeting together with a copy of the Agenda shall be sent to all members at least 21 days before the meeting.
(b)Any member desirous of moving a Resolution at the Annual General Meeting shall give notice in writing to the Secretary not less than fourteen days before the date of the said meeting.
( c)The Secretary shall exhibit within the club details of the said Resolution not less than seven days prior to the date of the meeting.
16 OTHER GENERAL MEETINGS
(a) The Executive Committee may at any time call a General Meeting either at its own instigation or by a requisition signed by at least twenty members. Twenty-one days notice in writing to all members shall be given of such a meeting and any resolution passed shall be deemed valid if approved by at least three-quarters of the members present and voting.
(b) The Agenda shall be placed on the circular convening the meeting and no other business than that stated thereon shall be transacted at that meeting.
17 ALTERATIONS TO RULES
(a)These rules may be altered or revoked only with the consent of a General Meeting other than an Annual General Meeting.
(b) Where any alteration is made in the Rules of the Club, the Secretary shall give written notice of the alteration to the Chief Officer of Police and to the Clerk of the Local Authority.
18 LOSSES AND DAMAGES
(a) All members will pay for every expense they incur before leaving the Club.
(b) Any member breaking any article which is the property of the Club shall pay just the value of the article before leaving the Club premises.
( c) No member shall take away from the club any item which is the property of the Club.
(d) No pamphlets or advertisements shall be placed in the Club unless sanctioned and initialised by an Executive Officer of the Club.
(e) The Club shall not be held responsible for any property lost or damaged on its premises.
19 DISSOLUTION
a) If at any General Meeting of the club, a resolution be passed calling for the dissolution of the club, the Secretary shall immediately convene a special general meeting of the club to be held not less than one month thereafter to discuss and vote on the resolution.
b) If at that Special Meeting, the resolution is carried by at least two-thirds of the full voting membership present at the meeting, the Executive Committee shall thereupon, or at such date as shall have been specified in the resolution, proceed to realise the assets of the club and discharge all debts and liabilities of the club.
c) The Executive Committee will then be responsible for the orderly winding up of the club’s affairs.
d) After settling all liabilities of the club, the Executive Committee shall dispose of the net assets remaining to one or more of the following:
(i) to another club with similar sports purposes which is a registered charity and/or
(ii) to another club with similar sports purposes which is a registered Community Amateur Sports Club.
(iii) and/or to the club’s governing bodies for use by them for related community sports.
20 INTERPRETATION.
The Executive Committee shall be the sole authority for the interpretation of these rules and their decisions shall be final and binding.
21 DECLARATION.
Five Ways Old Edwardians Sports Club hereby adopts and accepts this constitution as a current operating guide regulating the actions of all members.
