SECOND CALLING NOTICE
NOTICE IS HEREBY GIVEN that the 63rd Annual General Meeting of the Dorset & Wilts. RFU (and the second AGM of Dorset & Wilts. RFU Ltd) will be held at the Salisbury RFC Clubhouse on Wednesday, 8th July, 2009, at 7:00 p.m.
AGENDA
1. To note attendance and any apologies
2. To consider and approve (with or without amendments) the minutes of the previous AGM Click Here
3. To receive and approve reports from the Hon. County Secretary and on behalf of the D&W Committee about the affairs of the Constituent Body since the previous AGM Click Here

NOTES TO CALLING NOTICE AND PROPOSED AGENDA
1. Following the incorporation of Dorset & Wilts. RFU Ltd as an Industrial & Provident Society the AGM has to be conducted in accordance with our Constitution, which means that: -
(a) Nominations for the election of Officers and other Committee members (which must
have the consent of the nominee) have to be sent in writing so as to reach Hon. County Secretary by 30 April;
(b) Proposals for additions or alterations to the Constitution (which must be proposed by one Member and seconded by another Member) have to be sent in writing so as to reach Hon. County Secretary by 30 April;
(c) Under the Regulations duly passed since the 2007 AGM, details of any other relevant matter for the consideration of the Committee during the ensuing year must be submitted in writing to Hon. County Secretary beforehand and not less than 48 hours before the time for which the AGM has been convened.

3. The provisions of the Industrial & Provident Society Act would oblige us to appoint qualified auditors (which would represent an inordinate expense for us) each year; but the Act also allows for this requirement to be dispensed with in the following circumstances: -
(a) Where the assets and turnover of the organisation are below certain levels;
(b) Where the Constitution so allows (which ours does) and;
(c) Where the appropriate Resolution is passed at the AGM (provided that less than
20% of votes at the AGM are cast against the resolution and that less than 10% of
the membership votes against the resolution.

Under Item 11 - To hear any other relevant matter for the consideration of the Committee during the ensuing year but on which no voting shall be allowed.
At the request of Blandford RFC, the Annual General Meeting will be invited to discuss what may be done about the following: -
a) Late cancellation of fixtures
Blandford RFC says a significant number of league games were cancelled last season and “when you have arranged food, cleaners, not to mention the players’ time and a game gets called off on a Saturday, or even a Friday, everything has to be cancelled. In some cases food has to be thrown out. In addition, the referee's time can be wasted if games are called off late. On one occasion when a game was called off at 1:00 pm on Saturday we could not get hold of the referee. It was immensely embarrassing to tell him the game was off when he arrived at the pitches. Is there anything that could be done to avoid these additional unnecessary costs and embarrassments for clubs?”
County Secretary’s note: League and cup competitions are subject to the RFU’s Game Regulations; and para 15.2 provides: “Each Club … agrees it has entered into a legally binding contractual obligation any breach of which may give rise to a claim for damages or compensation with each and every other Club in the RFU Competition and the RFU”.
b) Teams ‘picking’ their matches
Blandford RFC feels that some clubs may be 'choosing' their matches, which is not a desirable practice, and would cite the following examples:
Saturday 15 November 2008 - A club’s 2XV cancelled its game vs Blandford, yet that same club’s 3XV played that day
Saturday 20 December 2008 - A club’s 3XV cancelled its game, yet that same club’s 4XV played that day
Saturday 31 January 2009 - A club’s 2XV cancelled its game, yet that same club’s 3XV played that day
Saturday 14 February 2009 - A club’s 3XV cancelled its game, yet that same club’s 4XV played that day
County Secretary’s note: see para’s 4.3 and 4.4 of our own Regulations for matches at Levels 8, 9 or 10 and which provide for Clubs to appeal to the League Secretary.
c) Substitutions
Blandford RFC would like a discussion to take place about what can be done to make all teams have an equal number of substitutions?
County Secretary’s note: please see para 5 of Appendix 1 to the Dorset & Wilts. RFU Competition Regulations; anything else would have to be agreed between the 2 Clubs contesting the match.
